Of the two drafts,I prefer draft "A". That draft

does not call for a general enquiry and report--

which might precipitate difficulties, and which

would in any event place the whole question in a different light by requiring definite action?

Draft A also states the difficulties more fully;

and gives a better conspectus of the position, to

my mind. I have suggested one rather important

addition to draft" A. Probably, the main "internat-

ional" difficulty turns on the question of domicile.

It would therefore seem advisable to insist on

registration under Pritish Company law, and a

British domicile--which I think follows from

registration. We can do a good deal to cut out

difficulties by securing that our domestic law
